Know Your Gafta Contracts

Gafta is holding a "Know your Gafta Contracts" seminar on the 27th March. This one-day seminar is practical and commercially oriented and is aimed at those engaged in the grain trade.

Summary of the content:

  • English contract law –  why English law?, what is a contract? how is it formed? contractual terms, sale of goods, Certificate Final.
  • Default and damages – assessment, Gafta Default Clause, Bunge v Nidera.
  • Ten things to consider before contracting – counterparty risk, understanding the contract, identifying the correct party, financial risk, defaulters, enforcement issues.
  • Gafta Contracts – a summary of key terms (a ‘walk through’ the key provisions of a Gafta contract explaining their importance and highlighting how to avoid problems arising).
  • Common tactics for attempting to avoid contractual liability – some of the arguments commonly put forward; i.e. was there a contract? was there a breach? measure of damages, Force Majeure, defective notices, breach of documentary requirements.
  • Gafta Dispute Resolution –  domicile, arbitration, mediation, enforcement.
  • Insurance – Insurance Act 2016
  • Q&A session.

Gafta's Director General, Jaine Chisholm Caunt and General Counsel, Jonathan Waters will be in attendance to speak on the above topics and will be joined by a local Gafta Qualified Arbitrator, Mr Shailendra Bardia.

Mr Shailendra Bardia is a Qualified GAFTA arbitrator, based in India.  Shailendra is qualified under Rules No.s 125 and 126 and is also GAFTA Appeal Board Arbitrator.  Shailendra covers a lot of commodities including Rice, Wheat, Barley, Mustard, Oils, Oilseeds, Solvent Extraction, Pulses and Peas to name but a few.  Amongst Shailendra's activities, these include:  FOSFA Arbitrator, Member, Chartered Institute of Arbitrators, London, CEDR, London , Accredited Mediator, B. Com ( Hons), Law Graduate, Chartered Accountant, Cost Accountant, Nominated as Expert on Dubai International Arbitration Centre, Dubai; Member, FICCI, Arbitration and Conciliation Tribunal (FACT), New Delhi; Member, Indian Council of Arbitration, New Delhi; Honorary Patron, India Pulses And Grain Association, Mumbai.
Mrs Jaine Chisholm Caunt  was appointed Director General of Gafta in 2014. Jaine is also the current Chair of the International Agri-food Network (IAFN) which co-ordinates the work of the Private Sector Mechanism (PSM) at the UN Committee on World Food Security. Jaine was Secretary General of the Tobacco Manufacturers Association from 2011 to 2014 and was previously the Director of Stakeholder Relations and Policy for Cogent, the skills body for the UK's science-based and process manufacturing from 2006 to 2011. Jaine has been a member of a wide range of government working groups, including advising the UK government on workplace teacher training standards from 2001 to 2003 and sitting as a member of a HEFCE advisory group on University funding. She was also a Non-Executive Director of OPITO, the Oil and Gas Academy from 2008 to 2011 and a Non-Executive Director of Citizencard, the UK's leading proof-of-age card from 2011 to 2014, as well as serving as a Trustee on several charity boards. Jaine has a BA (Hons) in Politics & English and a PGCE in Further Education, and is a Fellow of the Higher Education Academy and a member of the Institute of Directors. 
Mr Jonathan Waters is a barrister, arbitrator and accredited mediator and has held a number of senior in-house positions in a variety of business sectors, including retail and leisure, healthcare and insurance. Jonathan has over 25 years PQE, having advised clients, ranging from those listed on the London Stock Exchange to small-medium enterprises, and specialises in international arbitration, commercial contracts and employment law. He has been involved in a number of key reported legal cases involving company law and directors duties. He is a member of the Chartered Institute of Arbitrators and has a Masters Degree in Economic Relations and Employment Law. He presents at international conferences and spent twelve years as a part-time Law lecturer. In 2014, The Lawyer Magazine included Jonathan in its 'Hot 100' lawyers.
